In extra time, Marseille scored a goal, but after watching the replay it was ruled out for offside.
On penalties, Panathinaikos won 5-3, while Marseille netted a missed shot from Matteo Guendouzi.
For the right to advance to the Champions League group stage, Panathinaikos will now fight with Portuguese side Braga.
